These Terms and Conditions ("Terms") govern your access to and use of Energy, an online platform for creator memberships and audience support. By accessing the website, creating an account, becoming a member, creating a membership, purchasing services, or otherwise using Energy, you agree to these Terms.
If you do not agree to these Terms, do not use the platform.
Energy provides tools that allow creators to build membership relationships with fans and supporters, publish or provide benefits, communicate with members, receive payments, and access creator business tools. Features vary by plan and may change over time.
Energy does not guarantee that any creator will earn a particular amount, gain a particular number of members, or achieve a particular business result.
You must be legally capable of entering into a binding agreement and must satisfy any applicable age, geographic, identity, payment, or other eligibility requirements.
You are responsible for providing accurate information, protecting your login credentials, maintaining account security, and all activity conducted through your account. Notify us promptly if you believe your account has been compromised.
Creators are responsible for the accuracy and legality of their profiles, membership offerings, content, benefits, communications, and representations to supporters.
Creators must not offer benefits or services they cannot reasonably provide and must comply with applicable laws, intellectual-property rights, advertising requirements, and payment-provider rules.
Memberships may involve recurring payments or other charges displayed to the member before purchase. By joining a membership, you authorize the applicable payment provider to process the applicable charges according to the membership terms.
Creators determine the benefits associated with their memberships, subject to Energy policies and applicable law. Energy may facilitate payments but is not responsible for a creator's failure to provide a promised benefit, except where required by applicable law or expressly stated in a separate agreement.
A member may cancel a recurring membership using the available account controls or other cancellation method. Cancellation generally prevents future renewal but does not necessarily reverse charges already processed or pending amounts that are otherwise due.
Creators and members should review the applicable billing terms before cancelling. Refunds, credits, or disputed charges are subject to applicable law, Energy policies, and the circumstances of the transaction.
Creator platform fees are based on the plan selected and the rates published by Energy from time to time. The current pricing page lists Lite at 5%, Pro at 8%, and Premium at 12% of monthly income earned on Energy, plus applicable payment-processing fees.
Payment-processing fees may vary by transaction amount, currency, payment method, and other factors. Energy may update pricing or plan features by providing appropriate notice where required.
Creators are responsible for maintaining an eligible payout account with a supported provider. Payouts may be subject to provider verification, reserves, delays, fees, geographic limitations, and provider terms.
You retain rights in content you own and submit to Energy, subject to the licenses necessary for Energy to operate the platform and provide the services.
By uploading or publishing content, you grant Energy a non-exclusive, worldwide, limited license to host, store, reproduce, display, transmit, and otherwise process that content as reasonably necessary to operate the platform, provide the requested services, and make the content available to the audiences you choose.
You represent that you have the rights and permissions necessary to submit and use your content. You may not upload or distribute content that infringes another person's rights or violates applicable law.
You may not use Energy to commit fraud; violate laws; infringe intellectual property, privacy, or other rights; distribute malware; attempt unauthorized access; manipulate payments or memberships; impersonate another person; harass, threaten, or abuse others; distribute unlawful content; or interfere with the operation or security of the platform.
We may remove content, restrict features, suspend accounts, or terminate accounts when reasonably necessary to address violations, security risks, legal requirements, fraud, abuse, or harm to users or the platform.
Energy may provide posts, messaging, email-related tools, workshops, and other communication features. Users are responsible for their communications and must not use these tools for harassment, spam, unlawful solicitation, fraud, or other prohibited conduct.
Creators may block or restrict individual members, and platform access to communication features may also be restricted based on account status or platform rules.
Energy may rely on third-party providers, including payment, hosting, analytics, communications, and other technology providers. Third-party services are subject to their own terms and policies. Energy is not responsible for outages, policy changes, account restrictions, or other events controlled by third parties.
We may modify, suspend, or discontinue features or portions of Energy from time to time. We do not guarantee uninterrupted or error-free operation. Maintenance, technical issues, security events, internet failures, or third-party issues may affect availability.
To the maximum extent permitted by law, Energy is provided on an "as is" and "as available" basis. We do not warrant that the platform will always be available, error-free, secure, or produce a particular financial, audience, marketing, or business result.
To the maximum extent permitted by applicable law, Energy and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the platform.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Energy and its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, costs, and expenses arising from your violation of these Terms, misuse of the platform, unlawful content or conduct, or infringement of another person's rights.
We may suspend or terminate accounts or access where necessary because of violations of these Terms, fraud, security concerns, unpaid obligations, legal requirements, abuse, or operational reasons.
Termination does not affect rights or obligations that accrued before termination or provisions intended to survive termination.
Refunds, credits, cancellations, and payment disputes are handled according to applicable Energy policies, transaction terms, payment-provider rules, and applicable law. Where a dispute concerns a creator's membership or benefit, Energy may review the circumstances and take action consistent with its policies.
We may update these Terms from time to time. When material changes are made, we will update the last-updated date and provide notice where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.
The governing law and jurisdiction should be determined by the legal entity operating Energy and the applicable business jurisdiction. This section should be finalized with the company's legal counsel before publication so that the correct jurisdiction is stated.
